Terms of Service.

Agreement

These terms govern your use of this website and, unless superseded by a signed engagement agreement, the consulting services provided by Aethon Intelligence LLC ("Aethon," "we," "us"), located at 25310 Donahue Drive, San Antonio, TX 78255. By using this website or engaging our services, you agree to these terms. If a signed agreement between you and Aethon conflicts with these terms, the signed agreement controls.

Scope of services

Aethon provides AI systems consulting: auditing how a client's business operates, then designing, building, deploying, and improving software systems around it. The specific scope, deliverables, timeline, and fees for any engagement are defined in a written proposal or agreement before work begins. Anything outside that written scope requires mutual written agreement.

Payment

Fees are stated before an engagement begins. Build engagements are invoiced per the engagement agreement. Retainers are billed monthly in advance. Invoices are due on receipt unless the engagement agreement states otherwise. We may pause work on accounts with overdue balances after reasonable notice. Clients are responsible for their own third party costs, such as hosting and API usage, which run in the client's own accounts.

Intellectual property

Clients own the systems we build for them. Upon payment, all custom code, configurations, and documentation produced for a client's engagement are delivered to the client's own repository and hosting, and ownership of those deliverables belongs to the client outright. No platform fee, no license, no lock in.

Aethon retains ownership of its general methods, know-how, templates, and tools that predate or fall outside a specific engagement, and may use general experience gained from engagements, provided no client confidential information is disclosed. Third party and open source components remain subject to their own licenses.

Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only for the engagement. Client business data lives in the client's own infrastructure with separate credentials per client. Nothing about one client's business is shared with another.

Client responsibilities

• Provide accurate information and timely access to the people, systems, and credentials needed for the engagement.
• Maintain their own accounts for hosting, APIs, and other third party services.
• Review and approve system behavior boundaries defined during the engagement.
• Use the delivered systems in compliance with applicable laws and third party terms.

Warranties and disclaimers

We perform our services in a professional and workmanlike manner. Except as expressly stated, the website and services are provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, or non infringement. AI systems produce probabilistic output; clients are responsible for final review of decisions with legal, financial, or safety consequences, consistent with the autonomy boundaries configured for their systems.

Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Aethon's total aggregate liability arising out of or relating to the services or this website will not exceed the fees paid by the client to Aethon in the three months preceding the event giving rise to the claim.

Termination

Either party may end a retainer with written notice per the engagement agreement. Upon termination, the client pays for work performed through the effective date, and we deliver all completed work product to the client's repository. Because clients own their systems and infrastructure, systems keep running after termination under the client's control.

Mobile messaging terms

Aethon Intelligence LLC operates SMS messaging programs for itself and on behalf of its client businesses.

Program description: Recipients receive operational text messages related to a business they contacted or a service they use. This includes lead notifications to business staff and follow-up messages to consumers who requested contact with one of our client businesses.

Message frequency varies. Message and data rates may apply depending on your carrier and plan.

Reply STOP to any message to opt out. You will receive one final message confirming the opt out and no further messages. Reply HELP for assistance, or contact us at the address below.

Consent to receive text messages is not a condition of purchasing any goods or services.

Carriers are not liable for delayed or undelivered messages.

Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising under these terms will be brought in the state or federal courts located in Bexar County, Texas, and the parties consent to their jurisdiction.

Changes

We may update these terms by posting a revised version on this page with a new effective date. Continued use of the website or services after changes take effect constitutes acceptance.
